Oragic Terms of Use

1. Acceptance of the Terms

By downloading, accessing, creating an account, purchasing content, or otherwise using the Services, you acknowledge that:

• you have read these Terms;
• you understand these Terms;
• you agree to be legally bound by them;
• you agree to our Privacy Policy.

These Terms apply to every visitor, registered user, organization, educational institution, and enterprise customer using Oragic.

2. Eligibility

You may use Oragic only if:

• you are legally capable of entering into a binding agreement;
• you comply with these Terms;
• your use is permitted under applicable law.

If you are under 18 years of age, you may use Oragic only with the consent of a parent or legal guardian where required by law.

Oragic is not intended for children under the age of 13.

Oragic is a Mental Fitness platform.

Our mission is to help people strengthen trainable psychological capacities through structured daily practice.

The platform includes features such as:

• Mental Fitness Workouts
• Daily Check-ins
• Calm Cards
• Progress Tracking
• Streaks
• Achievement System
• Mental Fitness Challenges
• Educational Courses
• Cognitive Performance Benchmark™
• Enterprise Dashboard
• University Programs
• Future AI-powered coaching and recommendations

The Services may evolve over time.

We reserve the right to modify, improve, discontinue, or introduce new functionality at any time.

4. Important Medical Disclaimer

NOT MEDICAL ADVICE

Oragic is not:

• a healthcare provider;
• a psychologist;
• a psychiatrist;
• a psychotherapist;
• a medical device;
• a crisis intervention service.

Nothing contained within Oragic constitutes:

• medical advice;

• diagnosis;
• treatment;
• prevention;
• healthcare services.

The Services are intended solely for:

• education;
• self-improvement;
• Mental Fitness training;
• habit formation;
• wellbeing support.

If you believe you are experiencing a mental health crisis or medical emergency, immediately contact your local emergency services.

5. User Accounts

To access certain features you may be required to create an account.

You agree to:

• provide accurate information;
• keep your information updated;
• maintain the confidentiality of your credentials;
• immediately notify us of unauthorized access.

You are responsible for all activities occurring under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

6. Authentication

You may sign in using:

• Apple Sign In
• Google Sign In
• Email authentication
• Future authentication providers

Authentication services are operated by third parties.

Your use of those authentication providers is subject to their own terms and privacy policies.

7. Purchases

Oragic may offer:

• one-time course purchases;
• premium educational content;
• enterprise licenses;
• university licenses;
• future subscriptions;
• future premium services.

Prices may change at any time.

Any price changes will not affect purchases already completed.

8. App Store Purchases

Purchases made through Apple are processed by Apple.

We never receive your complete payment card information.

Apple’s payment terms govern App Store transactions.

Refunds for App Store purchases are handled according to Apple’s refund policies.

9. Future Subscription Services

Although Oragic currently offers one-time purchases, we may introduce:

• monthly subscriptions;
• annual subscriptions;
• organizational subscriptions;
• premium memberships.

Additional subscription terms will apply when those services become available.

10. License to Use the Services

Subject to these Terms, Oragic grants you a:

license to use the Services solely for your personal, non-commercial use.

This license does not transfer ownership of any intellectual property.

11. Intellectual Property

All rights, title, and interest in the Services remain the exclusive property of Oragic and its licensors.

• user interface;
• graphics;
• illustrations;
• animations;
• icons;
• sounds;
• logos;
• trademarks;
• brand identity;
• educational materials;
• Mental Fitness Framework;
• Mental Fitness Index (MFI);
• Cognitive Performance Benchmark™;
• Calm Cards;
• research methodologies;
• documentation;
• software architecture;
• algorithms;
• databases;
• dashboards.

Nothing in these Terms transfers ownership to you.

12. Trademarks

The following names are proprietary trademarks (registered or unregistered) of Oragic:

• Oragic
• Mental Fitness™
• Mental Fitness Framework™
• Mental Fitness Index™
• MFI™
• Cognitive Performance Benchmark™
• Calm Cards™
• Train Your Mind™
• Your Body Has a Gym. Your Mind Should Too.™

You may not use these marks without prior written permission.

13. User Content

Some Services allow you to submit:

• journal entries;
• reflections;
• survey responses;
• feedback;
• comments;
• messages.

You retain ownership of your original content.

By submitting content, you grant Oragic a worldwide, non-exclusive, royalty-free license to:

• host;
• store;
• reproduce;
• display;
• analyze;
• improve the Services.

This license exists only to operate and improve Oragic.

We will not publish your personal reflections without your permission unless required by law.

14. Mental Fitness Data

Mental Fitness check-ins are designed to help users monitor personal progress.

They are not intended to:

• diagnose illness;
• determine mental disorders;
• provide psychological evaluations.

Scores generated within Oragic represent educational indicators only.

They should never be interpreted as medical assessments.

15. Research Participation

From time to time Oragic may conduct scientific studies or collaborate with universities.

Participation is voluntary unless explicitly stated otherwise.

Research activities may require separate informed consent.

Users may decline participation without affecting their normal access to the Services.

16. Organizational Programs

Some users access Oragic through:

• employers;
• universities;
• accelerators;
• educational institutions;
• research organizations.

Organizations receive only anonymized and aggregated information.

Individual emotional check-ins, reflections, or personal Mental Fitness data are never shared with organizations without explicit user consent or legal obligation.

17. Enterprise Dashboard

The Enterprise Dashboard provides organizations with aggregate insights including, where applicable:

• participation;
• completion;
• engagement;
• average recovery;
• average focus improvements;
• burnout indicators;
• cohort-level trends;
• Mental Fitness metrics.

The dashboard is intended for organizational wellbeing insights and should not be used as the sole basis for employment, academic, or disciplinary decisions.

18. Acceptable Use

You agree NOT to:

• violate any law;
• infringe intellectual property rights;
• reverse engineer the Services;
• copy or redistribute content;
• exploit security vulnerabilities;
• upload malware;
• interfere with other users;
• automate unauthorized access;
• scrape the platform;
• impersonate another person;
• misuse pilot programs;
• misuse organizational dashboards.

Violation of these Terms may result in immediate suspension or termination.

19. Beta Features

Some features may be released as:

• Beta
• Preview
• Experimental
• Early Access

These features may:

• contain bugs;
• change substantially;
• be removed without notice.

Beta features are provided “as is.”

20. Third-Party Services

Oragic integrates with third-party services including, but not limited to:

• Apple
• Google
• Firebase
• Google Analytics
• Payment providers
• Email services
• Cloud hosting providers

Your use of these services may also be governed by their own terms and privacy policies.

21. Artificial Intelligence & Future Features

Oragic may introduce artificial intelligence (“AI”) or machine learning features to enhance the user experience. These features may include, but are not limited to:

• personalized Mental Fitness recommendations;
• adaptive learning paths;
• AI-generated summaries;
• personalized Calm Card suggestions;
• Mental Fitness insights;
• enterprise trend analysis.

AI-generated content is intended solely for educational, informational, and self-improvement purposes.

AI features:

• do not constitute medical advice;
• do not diagnose mental health conditions;
• should not replace professional judgment;
• may occasionally produce inaccurate or incomplete information.

Users remain solely responsible for decisions made based on AI-generated content.

22. User Feedback

We welcome suggestions, ideas, feature requests, and feedback regarding the Services.

If you voluntarily provide feedback, you agree that Oragic may use, modify, improve, publish, and incorporate such feedback into its products without compensation or attribution, unless otherwise agreed in writing.

23. Privacy

Your use of the Services is also governed by our Privacy Policy.

The Privacy Policy explains how we collect, process, store, and protect personal information.

By using Oragic, you also acknowledge the Privacy Policy.

24. Security

Although we implement commercially reasonable security measures, no digital platform can guarantee complete security.

Users are responsible for:

• protecting their account credentials;
• using secure devices;
• maintaining updated software;
• notifying Oragic immediately of suspected unauthorized access.

25. Suspension and Termination

We reserve the right to suspend or terminate access to the Services at any time if we reasonably believe that a user:

• violates these Terms;
• violates applicable law;
• abuses the platform;
• infringes intellectual property rights;
• harms other users;
• attempts unauthorized access;
• compromises platform security.

Termination does not relieve users of obligations that survive termination, including payment obligations and intellectual property restrictions.

26. Account Deletion

Users may request deletion of their account through available in-app functionality or by contacting Oragic.

Following a deletion request, we will delete or anonymize personal information in accordance with our Privacy Policy, except where retention is required by law or for legitimate business purposes.

Some anonymized analytical data may be retained for research, security, and statistical purposes.

27. Availability of Services

We strive to keep Oragic available at all times.

However, we do not guarantee uninterrupted or error-free access.

The Services may occasionally be unavailable due to:

• maintenance;
• upgrades;
• technical failures;
• security incidents;
• internet interruptions;
• third-party service outages;
• events beyond our reasonable control.

28. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

ORAGIC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• TITLE;
• ACCURACY;
• RELIABILITY;
• AVAILABILITY;
• SECURITY.

We do not warrant that:

• the Services will always function without interruption;
• the Services will be free of bugs;
• the Services will meet every user’s expectations;
• the Services will produce any specific personal outcome.

Individual experiences and results will naturally vary.

29. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORAGIC, ITS FOUNDERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY:

• INDIRECT DAMAGES;
• INCIDENTAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• SPECIAL DAMAGES;
• EXEMPLARY DAMAGES;
• LOSS OF PROFITS;
• LOSS OF DATA;
• LOSS OF GOODWILL;
• BUSINESS INTERRUPTION;
• PERSONAL DECISIONS MADE BASED ON THE SERVICES.

In jurisdictions where limitations are permitted, Oragic’s total aggregate liability shall not exceed the amount actually paid by the user to Oragic during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not permit certain limitations, so portions of this section may not apply.

30. Indemnification

You agree to defend, indemnify, and hold harmless Oragic and its affiliates from any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising from:

• your misuse of the Services;
• violation of these Terms;
• infringement of third-party rights;
• unlawful conduct;
• content submitted by you.

31. Intellectual Property Enforcement

Unauthorized copying, reproduction, distribution, reverse engineering, or commercial use of any portion of the Services may result in legal action.

Oragic reserves all rights not expressly granted under these Terms.

32. Copyright Complaints

If you believe that copyrighted material has been used in violation of your rights, please contact us with:

• your contact information;
• identification of the copyrighted work;
• description of the alleged infringement;
• sufficient information to locate the material;
• a statement made in good faith.

We will investigate all legitimate claims.

33. Export Controls

You agree not to use or export the Services in violation of applicable export control laws or international sanctions.

You represent that you are not located in any jurisdiction subject to comprehensive sanctions that would prohibit use of the Services.

34. Force Majeure

Oragic shall not be liable for delays or failures resulting from circumstances beyond our reasonable control, including:

• natural disasters;
• war;
• terrorism;
• civil unrest;
• labor disputes;
• internet outages;
• cyberattacks;
• government actions;
• pandemics;
• utility failures.

35. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Oragic LLC is incorporated, without regard to conflict of law principles.

If Oragic changes its jurisdiction of incorporation in the future, these Terms may be updated accordingly.

36. Dispute Resolution

Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiations.

If a dispute cannot be resolved informally within thirty (30) days, either party may pursue available legal remedies in the competent courts of the governing jurisdiction unless mandatory law requires otherwise.

Nothing in this section limits either party’s right to seek urgent injunctive relief where appropriate.

37. Assignment

Users may not assign or transfer any rights or obligations under these Terms without prior written consent from Oragic.

Oragic may assign these Terms in connection with:

• mergers;
• acquisitions;
• corporate restructuring;
• sale of assets;
• financing transactions.

38. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.

39. No Waiver

Failure by Oragic to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

40. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and Oragic regarding the Services and supersede all prior understandings relating to the same subject matter.

41. Changes to These Terms

We may update these Terms from time to time to reflect:

• changes in our Services;
• legal requirements;
• security improvements;
• new features;
• organizational developments.

If material changes are made, we will provide appropriate notice through the Services, by email, or by other reasonable means.

Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
